The rules and responsibilities that govern use of the NudgeDriver platform.
Please read these Terms carefully before using NudgeDriver. By creating an account or using our platform, you agree to be bound by these Terms. If you do not agree, do not use the service.
1. About NudgeDriver
NudgeDriver is a vehicle communication platform operated by NudgeDriver Ltd, registered in England & Wales. The platform enables registered vehicle owners to receive anonymous notifications from members of the public via a QR sticker placed on their vehicle.
2. Eligibility
- You must be 18 or older to create a NudgeDriver account
- You must be based in the United Kingdom (during the initial launch phase)
- You must provide accurate, complete information during registration
- One account per person — accounts are non-transferable
3. The Service
3.1 What We Provide
NudgeDriver provides a QR-based anonymous communication layer between vehicle owners and the public. The service includes: QR sticker issuance, AI-moderated message delivery, notifications (WhatsApp, SMS), and anonymous two-way communication functionality.
3.2 What We Do Not Provide
- We are not an emergency service — do not rely solely on NudgeDriver in a life-threatening situation. Always contact 999 first
- We do not guarantee message delivery — network outages or third-party service failures may affect delivery
- We do not provide legal advice regarding parking disputes or traffic offences
4. Acceptable Use
You must not use NudgeDriver to:
- Send threatening, abusive, harassing, or discriminatory messages
- Impersonate another person or organisation
- Attempt to identify or locate a vehicle owner using the platform
- Use automated tools to scan QR codes at scale
- Circumvent or attempt to reverse-engineer any part of the platform
- Use the platform for commercial purposes without our written consent
Our AI moderation system filters messages before delivery. Attempting to bypass moderation is a breach of these Terms and may result in account suspension.
5. QR Stickers
- QR stickers are issued to the registered account holder and are linked to a specific vehicle.
- Stickers must only be placed on vehicles you own or have permission to modify.
- Do not place stickers on vehicles belonging to others without consent.
- Replacement stickers are available subject to verification.
- NudgeDriver stickers must not be reproduced, copied, or used outside the platform.
6. Subscriptions and Billing
- Paid plans are billed monthly or annually as selected at signup.
- All prices are shown exclusive of VAT. UK customers are subject to 20% VAT.
- You may cancel at any time — cancellation takes effect at the end of your billing period.
- We reserve the right to change pricing with 30 days' notice to existing subscribers.
- You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period, and you will not be charged again. You will continue to have access to the service until the end of that period.
- All subscription payments are non-refundable once the billing period has started. This includes partial months, unused time, or lack of usage of the service.
7. Intellectual Property
All intellectual property rights in and to the NudgeDriver platform, including but not limited to its software, source code, algorithms, databases, user interfaces, design elements, text, graphics, logos, trademarks, domain names, audio-visual content, and overall look and feel (collectively, the "Platform Content"), are owned by or licensed to NudgeDriver Ltd and are protected by applicable intellectual property laws in the United Kingdom and internationally.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the platform strictly for its intended personal or business use, in accordance with these Terms and Conditions. This licence does not grant you any ownership rights in the Platform Content.
Except where expressly permitted in writing by NudgeDriver Ltd, you agree not to:
- copy, reproduce, modify, adapt, translate, or create derivative works from any part of the Platform Content.
- distribute, transmit, publish, display, perform, or commercially exploit any Platform Content.
- reverse engineer, decompile, disassemble, or otherwise attempt to extract source code or underlying algorithms.
- remove, obscure, or alter any copyright, trademark, or other proprietary notices.
- use any part of the Platform Content for competing services or commercial purposes.
All trademarks, service marks, and trade names displayed on the platform, including "NudgeDriver", are the property of NudgeDriver Ltd or its licensors. Unauthorised use is strictly prohibited.
You retain ownership of any personal data or content you submit to the platform ("User Content"). By submitting such content, you grant NudgeDriver Ltd a worldwide, non-exclusive, royalty-free licence to use, process, store, reproduce, and display that content solely for the purposes of operating, improving, and delivering the service, including AI processing, message routing, moderation, and analytics, in accordance with our Privacy Policy.
You confirm that you have all necessary rights to any User Content you submit and that such content does not infringe the rights of any third party.
NudgeDriver Ltd reserves the right to take appropriate legal action against any unauthorised use, infringement, or misuse of its intellectual property.
8. Liability
To the maximum extent permitted by UK law:
- NudgeDriver is provided "as is" without warranties of any kind.
- We are not liable for indirect, incidental, or consequential losses.
- Our total liability to you in any 12-month period shall not exceed the amount you paid us in that period.
- Just to be clear, these Terms are between you and us. Nothing in these Terms will entitle any third party other than the Service Provider to anything.
- You may be protected by mandatory consumer protection laws and regulations, which guarantee you rights that no company's terms can overrule. If there is any inconsistency between those laws and regulations and these Terms, such mandatory consumer protection laws and regulations will override.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9. Termination
We may suspend or terminate your account immediately if you breach these Terms, abuse the platform, or engage in fraudulent activity. You may close your account at any time from your account settings. Upon termination, your data will be handled in accordance with our Privacy Policy.
10. Service Suspension, Termination, or Closure
We reserve the right to suspend, discontinue, or terminate the NudgeDriver platform or any part of the service at any time, for any reason, including but not limited to business, operational, financial, or regulatory reasons.
Where reasonably practicable, we will provide advance notice to users of any permanent discontinuation of the service.
In the event that the service is discontinued:
- all active subscriptions will terminate at the end of the current billing period;
- no further charges will be made after the date of discontinuation;
- access to the platform may be withdrawn immediately or after a specified notice period.
11. Limitation of Liability on Service Closure
To the fullest extent permitted by law, NudgeDriver Ltd shall not be liable for:
- any loss of access to the platform following its suspension or discontinuation;
- any loss of data, messages, or account history resulting from service closure;
- any indirect or consequential losses, including loss of business, revenue, or opportunity.
Nothing in this clause excludes or limits liability where it would be unlawful to do so, including liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any other liability that cannot be excluded under applicable law.
12. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We may update these Terms from time to time. We will provide 30 days' notice of material changes to registered users. Continued use of the service after the effective date constitutes acceptance.
